Section 2: Core Requirements


2.2 The institution has a governing board of at least five members that is the legal body with specific authority over the institution. The board is an active policy-making body for the institution and is ultimately responsible for ensuring that the financial resources of the institution are adequate to provide a sound educational program. The board is not controlled by a minority of board members or by organizations or interests separate from it. Neither the presiding officer of the board nor the majority of other voting members of the board have contractual, employment, or personal or familial financial interest in the institution.

Narrative/Justification for Judgment of Compliance:
Christopher Newport University is in compliance with this core requirement. The Board of Visitors is defined and empowered by the Code of Virginia, Title 23, Chapter 5.3, sections 23-49.23 through 23-49.33. Board members are appointed by the Governor of Virginia for terms of four years. Members may be reappointed for one additional four year term. No more than two members of the Board of Visitors may be nonresidents of Virginia. The Board has by-laws that describe the legal basis for the operation of the University (Board By-laws). The Board of Visitors, consisting of fourteen members, is the governing board of the University and the legal body responsible for carrying out the mission of the institution that it holds in trust.

The Board controls and expends the funds of the University; controls all real estate and personal property; makes all needful rules and regulations concerning the University; appoints the president and all teachers and fixes their salaries; provides for the employment of other personnel as required; and generally directs the affairs of the University. The Board schedules its annual meeting for June. Board officers are elected at this meeting. There are a minimum of four meetings per year. The June 2005 Minutes of the Meeting of the Board of Visitors give evidence of the Board’s activities and responsibilities. Other Board minutes are provided as further support of compliance with this core requirement. None of the Visitors has a contractual, employment, personal, or familial financial interest in the institution, as confirmed by the conflict of interest statements, required annually by the Commonwealth of Virginia (Code of Virginia, Statute 2.2-3114).
